Terms of Service.

These Terms of Service ("Terms") are a legally binding agreement between you ("you", "your", "User") and Imperial Quant LLP (Limited Liability Partnership), which operates the website edgetest.in and the EdgeTest platform ("EdgeTest", "we", "us", "our").

By creating an account, signing in, or using any part of the website or the application, you confirm that you have read and accepted these Terms, our Privacy Policy, our Risk Disclosure and Legal Notices, our Cancellation and Refund Policy, and our Delivery and Service Activation Policy. Together these documents form the entire agreement between us. If you do not accept them, you must not use EdgeTest.

These Terms are published in electronic form and constitute an electronic record under the Information Technology Act, 2000. No physical or digital signature is required.

EdgeTest is a research, education and analysis tool. It applies rules that you define to historical market data published by the National Stock Exchange of India, and reports how those rules would have performed in the past.

EdgeTest does not execute trades. It does not connect to your broking or demat account. It does not hold, receive, transfer or manage your money or securities. It does not place, route or transmit any order to any exchange or intermediary.

EdgeTest is not registered with the Securities and Exchange Board of India (SEBI) as an investment adviser, research analyst, stock broker, portfolio manager or in any other capacity, and is not a member of any stock exchange.

Nothing made available through EdgeTest is investment advice, a research report, a recommendation, or a solicitation or offer to buy or sell any security. This includes backtest results, screener output, strategy templates, AI-generated explanations, market pages, charts, and every figure displayed anywhere on the site.

We do not publish buy or sell calls, do not offer portfolio management, do not guarantee or promise any return, and do not make performance claims regarding any advice, because we give none. Any output you see is the result of rules you selected, applied to past data, by software.

You alone are responsible for your investment decisions and for any consequence of them. Before acting on anything you learn here, you should consult a SEBI-registered investment adviser who can take your personal financial circumstances into account. You must be at least 18 years old and competent to contract under the Indian Contract Act, 1872. EdgeTest is not directed at children, and we do not knowingly create accounts for anyone under 18. If we learn that we hold data belonging to a person under 18, we will delete it.

You must not use EdgeTest if you are barred from doing so under any applicable law, or if you have been prohibited by SEBI or any other regulator from accessing the securities market.

You are responsible for ensuring that your use of EdgeTest complies with the laws that apply to you.

Accounts are created through Google sign-in. You are responsible for maintaining the security of the account you sign in with, and for all activity that takes place under your account.

One account is for one person. Sharing credentials, reselling access, or using a single account to serve multiple end users is not permitted.

Tell us promptly at support@edgetest.in if you believe your account has been accessed without your authorisation.

You may use EdgeTest for your own research and education. You may not do any of the following, and doing so may result in suspension or termination:

• Scraping, crawling, or systematically extracting data, results or content from the platform by automated means.
• Reselling, redistributing, sublicensing or commercially exploiting our data, results or content, including republishing market data obtained through EdgeTest.
• Presenting output from EdgeTest to third parties as investment advice, a research report, or a performance record, or using it to solicit investment.
• Circumventing plan limits, rate limits, authentication or any other technical restriction, or accessing parts of the service you have not been granted access to.
• Reverse engineering, decompiling or attempting to derive the source code of the platform, except where such restriction is prohibited by law.
• Interfering with or disrupting the service, its infrastructure, or other users, including by denial-of-service, injection, or excessive automated load.
• Uploading anything unlawful, infringing, malicious, or containing another person's personal data without their consent.
• Using the service to build or train a competing product, or to create a derivative dataset from our outputs.

Plan features and prices are shown on our Pricing page, and plan limits are enforced. Card and UPI checkout is not switched on yet: paid plans are arranged by writing to us, and the billing terms in this section and in our Cancellation and Refund Policy apply to them in full.

Prices are displayed in Indian Rupees and are inclusive of Goods and Services Tax at the applicable rate, currently 18 percent. Payments are processed by our payment aggregator, Razorpay Software Private Limited. We do not receive, handle or store your card, UPI or bank credentials.

We may change prices or the contents of a plan. We will give notice before a change takes effect, and a change will never affect a billing period you have already paid for. Continuing to use a paid plan after a price change takes effect constitutes acceptance of the new price.

Plan limits are enforced automatically by the platform. Which years of history you can test, which instruments and universes you can use, and how many strategies you can save and track depend on your plan. Cancellation and refunds are governed by our Cancellation and Refund Policy.

We offer a 7-day free trial of the Starter plan so that you can evaluate the paid features before paying anything. The trial is available once per customer.

At the end of the trial your account reverts to the Free plan unless you choose to subscribe. Because you are able to evaluate the service fully before any payment is taken, fees paid after a trial are not refundable except in the specific circumstances set out in our Cancellation and Refund Policy.

Backtests use end-of-day data published by the National Stock Exchange of India and datasets derived from it. Market pages show data sourced from NSE, delayed during market hours; outside market hours they show the previous session's close, labelled with its date.

Market data may contain errors, gaps, revisions or delays, and corporate actions may not always be reflected immediately. Costs, charges, margins and slippage shown in a backtest are modelled estimates and will differ from what you would actually pay.

All data and all results are provided on an as-is basis. EdgeTest is not affiliated with, endorsed by, or sponsored by NSE or any exchange, index provider or regulator.

The EdgeTest platform, including its software, interface, design, text, graphics, the EdgeTest name and logo, and the analytics and reports it generates, is owned by us or our licensors and is protected by Indian and international intellectual property law.

Subject to these Terms and to payment of any applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use EdgeTest for your own research and education. No other rights are granted, whether by implication or otherwise.

Market data remains the property of its originating exchange or provider. Nothing here transfers any right in it to you.

The strategies you describe, build and save remain yours. We do not claim ownership of them.

You grant us a limited licence to store, process and display your content solely so that we can operate the service for you: running your backtests, saving your strategies, generating your reports, sending you notifications you have asked for, and providing support. We may also use aggregated and anonymised information, which cannot identify you or your strategies, to understand usage and improve the product.

We do not sell your strategies and we do not publish them.

EdgeTest uses third-party large language models to translate what you type into a structured strategy, to explain results, and to power the Ella support assistant. The text you enter into those features is transmitted to our AI provider for processing, as described in our Privacy Policy.

AI output can be wrong. It may misinterpret your intent, and explanations it generates may contain errors. Always check the strategy shown in the builder before you rely on a result. AI output is never investment advice and must not be treated as such.

We aim to keep EdgeTest available and correct, but we do not guarantee uninterrupted or error-free operation. The service may be unavailable for maintenance, upgrades, third-party failures, or events beyond our control.

We may add, change, restrict or discontinue features. Where a change materially reduces a paid feature you are using, we will give reasonable notice.

You may stop using EdgeTest at any time, and you may ask us to delete your account by writing to support@edgetest.in.

We may suspend or terminate your access, with notice where practicable, if you breach these Terms, if we are required to do so by law or by a regulator, if your use threatens the security, integrity or lawful operation of the service, or if you fail to pay fees due.

On termination your right to use the service ends immediately. Sections concerning intellectual property, disclaimers, limitation of liability, indemnity, governing law and any other provision that by its nature should survive, will survive termination.

To the maximum extent permitted by law, EdgeTest is provided on an as-is and as-available basis, without warranties or conditions of any kind, whether express, implied or statutory. This includes any implied warranty of merchantability, fitness for a particular purpose, accuracy, non-infringement, or that the service will be uninterrupted, secure or error-free.

We do not warrant that any strategy, result, metric or output will be accurate, complete, profitable, or suitable for you, or that any historical result can be reproduced in live markets.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, including your rights under the Consumer Protection Act, 2019.

To the maximum extent permitted by law, EdgeTest, its founders, employees and suppliers will not be liable for any trading or investment loss, loss of profit, loss of opportunity, loss of data, loss of goodwill, or any indirect, incidental, special, consequential or punitive damages, arising out of or in connection with your use of, or inability to use, the service, or your reliance on any output from it, whether the claim is in contract, tort, statute or otherwise, and even if we have been advised of the possibility of such loss.

Our total aggregate liability for all claims arising in any twelve-month period is limited to the total amount you actually paid us for the service in that period, or Rupees one thousand, whichever is higher.

You acknowledge that trading and investing carry an inherent risk of loss, that any decision to trade is yours alone, and that the fee you pay for a research tool is not consideration for the assumption of your market risk.

You agree to indemnify and hold harmless EdgeTest, its founders, employees and suppliers against any claim, demand, loss, liability, cost or expense, including reasonable legal fees, arising from your breach of these Terms, your misuse of the service, your infringement of any third-party right, or your violation of any applicable law or regulation.

Our handling of your personal data is described in our Privacy Policy, which is written to meet the requirements of the Digital Personal Data Protection Act, 2023 and the rules made under it, and the Information Technology Act, 2000.

By using EdgeTest you consent to the processing described there. You may withdraw consent, and exercise your rights of access, correction, erasure, nomination and grievance redressal, using the routes set out in that policy.

If you have a complaint about the service, your data, a charge, or anything else, write to support@edgetest.in. We will acknowledge your complaint within 48 hours and work to resolve it within 30 days, as required by the Consumer Protection (E-Commerce) Rules, 2020 and the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011.

We are not liable for any failure or delay in performing our obligations where that failure or delay results from a cause beyond our reasonable control, including exchange or regulator action, failures of data providers, telecommunications or internet outages, power failures, cyber attack, fire, flood, natural disaster, epidemic, war, civil unrest, or change in law.

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.

Subject to the grievance process above, the courts at Surat, Gujarat, India will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or your use of EdgeTest, and you consent to that jurisdiction.

We may update these Terms as the product, the law, or our regulatory position changes. The date at the top of this page always shows when they were last revised.

Where a change is material we will give notice through the platform or by email before it takes effect. Continuing to use EdgeTest after that date means you accept the revised Terms. If you do not accept them, stop using the service and ask us to close your account.

If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary and the remaining provisions will continue in full force.

Our failure to enforce any right or provision is not a waiver of it. You may not assign or transfer these Terms without our written consent; we may assign them to a successor in connection with a merger, acquisition, reorganisation or sale of assets, including to the entity through which EdgeTest is incorporated.

These Terms, together with the policies referred to in section 1, are the entire agreement between us on this subject and supersede any earlier understanding. Nothing in them creates a partnership, agency, employment or joint venture between us.
